Content & IP Policy

Art. 1

Scope & Purpose

LoupiXa Agency operates an organic short-form video distribution platform. Its commercial model is built on content that is either original to the Clipper or sourced from rights-cleared material provided by the Brand. The platform does not and cannot monetise content that infringes third-party intellectual property rights.

This Policy must be read alongside the applicable Terms of Service (Clippers / Brands), the Disclosure Policy, the Notice-and-Takedown Policy, and the Sanctions & Appeals Policy.

Maximum legal exposure. Copyright infringement carries penalties of up to 3 years imprisonment and 300,000 euros per act for individuals, and up to 1,500,000 euros for legal entities.
Art. 3

The Cleared Content Pack (CCP)

The Cleared Content Pack (CCP) is a rights-cleared content package provided by the Brand client before any campaign is opened to the Clipper network.

No paid campaign may be launched on the LoupiXa platform without a validated CCP, unless the campaign is explicitly designated as an original-content-only campaign.

3.1 — Minimum CCP Requirements

Source content files — long-form videos, raw footage, or pre-approved clips that Clippers are authorised to use and edit.
Rights authorisation document — written confirmation from the Brand that it holds or has licensed all necessary rights for the source content provided.
Authorised and prohibited claims — a list of claims Clippers may and may not make in connection with the Brand's product or service.
Brand assets — logos, colour codes, product names, approved calls to action, and trackable links or bio URLs.
Disclosure template — the exact wording and format of the mandatory mention required on published content.
Brand safety prohibitions — content types, topics, or associations the Brand explicitly prohibits.
Art. 4

Eligible Content

Always Permitted
CCP-sourced content — content derived exclusively from source material contained in the validated CCP for the campaign.
Original Clipper content — entirely original content created by the Clipper, with no third-party audio-visual elements, where the Clipper owns all rights.
Licensed third-party content — content incorporating third-party elements for which the Clipper holds a valid commercial licence, with written proof provided to LoupiXa before publication.
Never Permitted
Unlicensed third-party content — any content incorporating extracts from films, TV series, streams, podcasts, music, or other creators' videos without a commercial licence.
AI-generated content using protected training data — without adequate rights clearance.
Reposts of third-party content without express written authorisation.
Content with unlicensed music — platform-native audio licences do not cover commercial/sponsored content.
TikTok, Instagram Reels, and YouTube Shorts each have music licensing agreements that cover organic personal use but do NOT extend to commercial or sponsored content. A Clipper publishing sponsored content with platform-licensed music must hold an independent commercial synchronisation licence.
Art. 5

Prohibited Content

5.1 — Intellectual Property Violations

Extracts from films, television series, streaming platform content (Netflix, Prime Video, Disney+, etc.), or broadcasts.
Music tracks, sound recordings, or compositions for which no commercial licence is held by the Clipper.
Content from other creators, influencers, or public figures reproduced or adapted without their explicit written consent.
Content reproducing substantial extracts from published literary, photographic, or artistic works without authorisation.

5.2 — Deceptive and Misleading Content

Content making false, exaggerated, or unsubstantiated claims about a product's performance, benefits, or safety.
Content concealing its commercial nature — including content that does not display the mandatory disclosure mention.
Use of fake testimonials, fabricated reviews, or simulated user-generated content to suggest authentic organic engagement.

5.3 — Harmful and Illegal Content

Defamatory, threatening, harassing, or hate speech content based on any protected characteristic.
Content depicting or inciting violence, self-harm, or dangerous activities.
Sexual, explicit, or pornographic content of any kind.
Content targeting, exploiting, or endangering minors in any way.
Content promoting illegal products, services, or activities.

5.4 — Platform Policy Violations

Content violating the Terms of Service or Community Guidelines of TikTok, Instagram, or YouTube.
Content artificially inflating view counts or engagement through bots, click farms, or other illegitimate means.

Art. 7

Brand Obligations

7.1 — Rights Warranties

The Brand warrants that it owns or has validly licensed all intellectual property rights in the CCP, including third-party material, music, footage, image rights, and trademarks.
The Brand warrants that CCP content does not infringe any third-party right, is not defamatory, and complies with applicable advertising standards.
The Brand agrees to provide written evidence of rights on request from LoupiXa within 48 hours.

7.2 — Indemnification

The Brand shall indemnify LoupiXa Agency and all Clippers who published content derived from the Brand's CCP against all claims, damages, losses, fines, and legal costs arising from any breach of the Brand's warranties under this Article.

Art. 8

Clipper Obligations

8.1 — Rights Guarantee

For each piece of content published in connection with a paid LoupiXa campaign, the Clipper declares and guarantees that they hold or have obtained: (a) all necessary intellectual property rights and authorisations for every element included in the content; (b) a valid and enforceable written licence or authorisation; or (c) express authorisation from LoupiXa to use the source material contained in the validated CCP.

8.2 — Proof of Rights — Retention Obligation

Clippers must retain, for a minimum of 24 months following publication, all evidence of rights, licences, or authorisations, and must provide such evidence to LoupiXa within 48 hours of a request.

8.3 — Indemnification

The Clipper shall indemnify LoupiXa Agency, its Brand clients, and any third parties against all claims, damages, losses, fines, and legal costs arising from a breach of the Clipper's rights guarantee. The Clipper's indemnification obligation towards LoupiXa Agency is unlimited; towards Brand clients it is capped at five (5) times the remuneration received under the relevant Campaign Agreement.

Sanctions

Written Warning + Mandatory Compliance Review

Formal written warning issued. Payment for the non-compliant content is withheld. Clipper must complete a compliance acknowledgement before participating in further campaigns.

Payment for the non-compliant content is permanently forfeited. Clipper is suspended from all active campaigns for 30 days. Re-admission requires written acknowledgement and LoupiXa's written approval.

Permanent removal from the LoupiXa network. All pending payments for non-compliant content are forfeited. Account blocked from re-registration.

Immediate and permanent exclusion, without prior warning, for: manifest copyright infringement, fraud (fake views, bot inflation, misrepresentation of rights), refusal to remove content following a formal takedown request, or publication of content in the Prohibited Content categories.
